The Netherlands ICT Terms and Conditions 2014 (Nederland ICT Voorwaarden 2014) filed with the Chamber of Commerce under the number 30174840 apply to all legal acts performed by us in relation to sales, explicitly rejecting any and all general conditions from our contractual counterparties, unless we explicitly agree in writing with the applicability thereof. Purchases
All legal acts performed by us in relation to purchases are subject to our General Purchase Conditions, filed with the Chamber of Commerce under the number 23069615, explicitly rejecting any and all general conditions from our contractual counterparties, unless we explicitly agree in writing with the applicability thereof. Governing law and dispute resolution
All our sales and purchases shall exclusively be governed by and are exclusively subject to the laws of The Netherlands, explicitly excluding the applicability of the Vienna Sales Convention (CISG). Any disputes relating to or following from sales and/or purchases will exclusively be settled by arbitration in accordance with the Arbitration Regulations of the Foundation for the Settlement of Automation Disputes, with its registered office in The Hague, without prejudice to the right of either of the parties to request an injunction in summary (arbitral) proceedings and without prejudice to the right of either of the parties to take precautionary legal measures (see www.sgoa.org).
